LICENSE AGREEMENT
FOR PERSONAL USAGE
This License Agreement (“Agreement”) is between Vincent Lee (the “Licensor”), owner of the YouTube channel “Produced by Vince,” and any person or entity (the “Licensee”) who uses the Licensor’s musical content. By downloading or using any music uploaded on the “Produced by Vince” YouTube channel (the “Music”), you agree to the terms of this Agreement.
1. Grant of License (Personal, Non-Commercial Use)
The Licensor grants you a personal, worldwide, non-exclusive, non-transferable, revocable license to use the Music for personal, non-commercial purposes only. Permitted personal uses include:
- Incorporating the Music into your own non-commercial videos (e.g. personal YouTube or social media videos, home projects, school projects).
- Using the Music as background audio during live streaming or similar personal broadcasts, provided these streams are not monetized or otherwise commercial in nature.
This license is royalty-free for the above personal uses, meaning you do not owe any licensing fee for such use. All permitted use is conditioned on compliance with the Attribution requirement and all other terms of this Agreement.
2. Attribution Requirement
Any use of the Music under this Agreement must include proper credit to the Licensor. At a minimum, you must attribute the Music by identifying “Vincent Lee” as the creator. The attribution should be provided in a manner appropriate to the medium, for example:
- In video descriptions, on-screen credits, or stream descriptions, include a statement such as “Music by Vincent Lee” (or similar clear credit).
The attribution must be clear and reasonably prominent so that viewers/listeners understand who the creator of the Music is. Failure to provide attribution in this manner constitutes a breach of this Agreement.
3. Commercial Use Not Covered
This Agreement does not authorize any commercial use of the Music. “Commercial use” includes any use that is intended for or results in financial gain, commercial advertisement, brand endorsement, product promotion, monetized content, or any business-related exploitation of the Music. Examples include use in monetized YouTube channels or videos, corporate videos, advertisements, films, games, or any project where you or a third party receive monetary compensation or promotional value from the use of the Music.
If you wish to use the Music for commercial purposes, you must obtain prior written permission from the Licensor. To seek a commercial license, please contact the Licensor at the designated email address (as provided on the “Produced by Vince” channel or official website) to request permission before any commercial use. Any commercial use of the Music without explicit written permission from the Licensor is a violation of this Agreement.
4. Restrictions on Use
When using the Music under this personal-use license, you agree to the following restrictions:
- No Redistribution: You may not redistribute, re-upload, publish, or make the Music available as a standalone file or as part of any music library, compilation, or collection. The Music cannot be given away, sold, or made available for others to download or use separately. It must only be used as an integrated part of your own personal content (such as a video or live stream) under the terms of this Agreement.
- No Unauthorized Modifications: You may not substantially edit, remix, transform, or create derivative works from the Music without explicit permission from the Licensor. Minor adjustments necessary for integration into your project (such as cropping for length, volume normalization, or fade-in/fade-out effects) are allowed, but you may not alter the Music in a way that changes its fundamental character. You cannot claim any modified version as your own musical creation.
- No Offensive or Unlawful Use: You may not use the Music in connection with content that is offensive, obscene, defamatory, illegal, or otherwise objectionable. This includes (but is not limited to) use in hateful or discriminatory material, content that encourages violence or illegal activities, or any other context that could tarnish the reputation of the Licensor. The Licensor reserves the right to determine what content is considered offensive or unacceptable under this clause.
Any use of the Music outside the scope of the Permitted Use (Section 1) or in violation of the above restrictions will result in an immediate termination of your license (see Section 7) and may constitute copyright infringement or other legal violations, subjecting you to potential legal liability.
5. Intellectual Property & No Transfer of Ownership
All rights, title, and interest in and to the Music, including all copyrights and related intellectual property rights, are and remain the sole property of the Licensor (Vincent Lee). This Agreement does not transfer any ownership of the Music to you. The Music is licensed to you, not sold. You acknowledge and agree that:
- You do not acquire any ownership rights or title to the Music by downloading, streaming, or using it under this Agreement. All such rights remain with the Licensor.
- Except for the limited license expressly granted in Section 1, the Licensor reserves all rights in and to the Music. No additional rights or permissions are granted by implication, estoppel, or otherwise.
You may not claim the Music (or any portion of it) as your own work, nor attempt to register, assign, or sublicense any rights to the Music. Any unauthorized use or claim of rights is a violation of the Licensor’s intellectual property rights.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. By using the Music, you agree that any disputes arising from or relating to this Agreement or the Music’s use shall be subject to the exclusive jurisdiction of the competent courts of Germany. If you are a consumer in a jurisdiction that mandates different legal requirements or venues, applicable consumer protection laws may provide you with additional rights.
7. Termination of License
The license granted under this Agreement is conditional and may be terminated. The Licensor reserves the right to terminate or revoke your license to use the Music immediately if you breach any term of this Agreement. You may also terminate this Agreement at any time by ceasing all use of the Music and complying with the removal requirement below. Upon termination (whether by the Licensor for breach, or by your discontinuation of use):
- You must stop using the Music immediately and remove or delete the Music from any of your content, projects, or media under your control. This includes deleting the Music from any videos or streams that you have the ability to edit or take down.
- Termination of this Agreement does not limit the Licensor from pursuing any other remedies available for your breach (such as legal action for unauthorized use or damages).
- Sections of this Agreement that by their nature should survive termination (such as Sections 2, 4, 5, 6, and this Section 7) shall continue to be in effect even after the license is terminated.
8. Acceptance and Miscellaneous
By downloading or using any Music from “Produced by Vince,” you acknowledge that you have read this License Agreement, understand its terms, and agree to be bound by them. If you do not agree to these terms, you do not have permission to use the Music and must refrain from using it in any way.
This Agreement constitutes the entire understanding between the Licensor and you, the Licensee, regarding the use of the Music for personal, non-commercial purposes. It supersedes any prior discussions or communications (if any) relating to the subject matter hereof. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remainder of the Agreement will remain in full force and effect. Any failure by the Licensor to enforce strict performance of any provision of this Agreement shall not constitute a waiver of the Licensor’s right to subsequently enforce such provision or any other provision of this Agreement.
By using the Music, you signify your acceptance of this Agreement.
